Our client is a large Private Equity Asset Manager based near Geneva, looking for a :
Legal Counsel
Responsibilities:
- Perform internally the review and negotiation of the legal documentation (LPA, side letters) primarily supporting investments in and management of private equity funds and co-investments, and occasionally be involved in various aspects of direct investments
- Coordinate tax aspects of investments with tax specialists
- Prepare and review NDAs in relation to the private equity activity
- Be the main contact and business partner to the private equity investment team and attend weekly meetings
- Collaborate with the funds operations team for the execution of subscription documentation and assist on KYC matters as and when needed
- Coordinate with, and manage, external legal counsel if required to support the legal review
- Develop a knowledge database related to the terms negotiated in the various private equity investments
- Monitor developments of private equity industry trends and provide feedback to the investment team
- Provide legal support for other activities assigned to the legal department as agreed with the Team Leader Legal
- Act as a back-up for the for other members of the legal team as and when required
- Ad-hoc project support
Profile:
- Qualified lawyer (EU/UK/CH) with minimum 5-7 years’ post qualification experience in a legal role in the finance industry with a key focus on the private market industry
- Minimum 3-5 years of experience in the review and negotiation of the legal documentation primarily supporting private equity investments and co-investment deals
- Commercial awareness is key (excellent knowledge of all main PE fund investment structures and commercial implications)
- Comfortable working on financial/commercial topics not directly involving private equity
- Confident working in English both spoken and written (native speaker /fluent) advanced level of French desirable
- Excellent drafting skills
